Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tarivex desktop application and related services (collectively, "Tarivex", "we", "us", or "our"). By downloading, installing, or using Tarivex, you agree to be bound by these Terms. If you do not agree, do not use Tarivex.

1. Acceptance of Terms

By creating an account, completing a purchase, or otherwise using Tarivex, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Tarivex on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. License

Tarivex is sold as a one-time purchase. Subject to your payment and ongoing compliance with these Terms, we grant you a perpetual, non-exclusive, non-transferable, revocable license to install and use Tarivex on up to five (5) personal devices that you own or control. Lifetime updates to the application are included at no additional cost.

This license does not grant you any right to sell, rent, lease, sublicense, distribute, reverse engineer (except to the extent permitted by applicable law), or create derivative works of Tarivex. All rights not expressly granted are reserved.

3. Bring Your Own Keys

Tarivex uses a "bring your own key" (BYOK) model for AI features. You supply your own API keys for third-party AI providers (such as OpenAI, Anthropic, or Google Gemini). Your API keys are stored locally on your device using your operating system's secure storage and are never transmitted to or stored on Tarivex servers.

You are solely responsible for all costs, usage charges, rate limits, and compliance with the terms of service of your chosen AI providers. Tarivex does not control, and is not responsible for, the availability, accuracy, or conduct of any third-party AI provider.

4. Local Operation

Tarivex is a local-first application that runs on your own machine and local network. Meeting audio, transcripts, screenshots, OCR text, and clipboard data are processed and stored on your own device. Tarivex does not store your content on its servers. When you choose to use a cloud AI provider, the relevant content is sent directly from your device to that provider using your own API key, subject to that provider's terms and privacy policy.

5. Acceptable Use / No Cheating

You agree to use Tarivex only for lawful purposes. In particular, you agree NOT to use Tarivex to:

  • engage in academic dishonesty or exam cheating of any kind;
  • deceive interviewers, examiners, proctors, or any other party;
  • violate the rules of any test, certification, interview, coding assessment, or proctored assessment;
  • conduct unlawful surveillance, or record or monitor others without their consent where such consent is legally required.

You are solely responsible for complying with all applicable laws and regulations regarding recording, consent, and privacy in your jurisdiction. We may suspend or terminate your access if we reasonably believe you have violated this section.

6. User Responsibilities

You agree to use Tarivex in a lawful manner and to obtain any consent required before recording meetings, conversations, or other communications. Recording and consent laws vary by jurisdiction, and it is your responsibility to understand and comply with the laws that apply to you. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

7. No Warranty

Tarivex is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Tarivex will be uninterrupted, error-free, or free of harmful components, or that any transcription, OCR, or AI output will be accurate or complete.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Tarivex, its owners, or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of (or inability to use) Tarivex. Our total aggregate liability for any claim arising out of or relating to these Terms or Tarivex shall not exceed the amount you paid for your license.

9. Refunds

If Tarivex does not work as described for you, contact us within a reasonable period at support@tarivex.com and we will work with you in good faith to resolve the issue or provide a reasonable refund.

10. Termination

We may suspend or terminate your license and access to Tarivex if you materially breach these Terms, including the Acceptable Use section. Upon termination, you must cease using Tarivex and remove it from your devices. Sections that by their nature should survive termination (including License restrictions, No Warranty, and Limitation of Liability) will survive.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of Tarivex after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction in which Tarivex operates, without regard to its conflict-of-law principles. [Governing law and venue to be specified.]
